1. Agreement to Terms

By creating an account or using Service Bid (“the Service”), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including business owners, team members, and anyone accessing the platform.

2. Description of Service

Service Bid is an AI-powered estimating and proposal platform for home service professionals, including contractors, landscapers, HVAC technicians, and similar trades. The Service provides tools for generating estimates, creating proposals, managing clients, invoicing, and integrating with third-party services such as QuickBooks Online.

3. Account Registration and Eligibility

  • You must be at least 18 years old to use the Service.
  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account, including activity by team members you invite to your organization.
  • You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Billing

  • Service Bid offers free and paid subscription plans. Features and usage limits vary by plan.
  • Paid subscriptions are billed monthly or annually through Stripe. By subscribing, you authorize recurring charges to your payment method.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
  • We reserve the right to modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Submit false, misleading, or fraudulent estimates or proposals through the platform.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use automated scripts, bots, or scrapers to access the Service without our written permission.
  • Resell, sublicense, or redistribute the Service to third parties.
  • Interfere with or disrupt the integrity or performance of the Service.

6. Your Content and Data

  • You retain ownership of all data, estimates, proposals, client information, and other content you create or upload to the Service (“Your Content”).
  • You grant Service Bid a limited, non-exclusive license to use, store, and process Your Content solely to provide and improve the Service.
  • You are solely responsible for the accuracy, legality, and appropriateness of Your Content.
  • You represent that you have the right to submit all data you provide, including any client information.

7. AI-Generated Estimates

  • Estimates generated by our AI tools are provided as suggestions and starting points only. They are not guaranteed to be accurate, complete, or suitable for any particular project.
  • You are solely responsible for reviewing, adjusting, and verifying all AI-generated estimates before presenting them to clients or using them for any business purpose.
  • AI estimates may use localized pricing data that could be outdated or inaccurate. Service Bid does not guarantee the accuracy of material or labor pricing.
  • Service Bid is not liable for any financial loss, disputes, or damages arising from reliance on AI-generated estimates.

8. Third-Party Integrations

  • The Service integrates with third-party platforms including QuickBooks Online, Stripe, and others. Your use of these integrations is subject to the respective third party's terms of service.
  • We are not responsible for the availability, accuracy, or functionality of third-party services.
  • You authorize Service Bid to access and exchange data with third-party services you connect, in accordance with the permissions you grant.

9. Intellectual Property

  • The Service, including its design, code, branding, AI models, and documentation, is owned by Service Bid and protected by intellectual property laws.
  • You may not copy, modify, distribute, or create derivative works from any part of the Service.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, Service Bid and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid to Service Bid in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Service Bid from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

  • We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to the Service or other users.
  • Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period following termination.
  • You may delete your account at any time through the application settings.

14. Modifications to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the state or federal courts located in California. You agree to submit to the personal jurisdiction of those courts.
